Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you or the organization you represent (“Customer”, “you”) and AscendCore, Inc. (“ascendcore.ai”, “we”, “us”) governing your access to and use of the ascendcore.ai platform, APIs, and associated services (collectively, the “Services”).

By clicking “I agree”, signing an Order Form, or accessing the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Services

ascendcore.ai provides an AI-powered IT automation platform that integrates with your existing IT infrastructure — including identity providers, ITSM platforms, endpoint management systems, and messaging tools — to automatically resolve Tier-1 help desk tickets with human-in-the-loop controls.

The specific features, capabilities, usage limits, and support levels applicable to your subscription are set forth in your Order Form or on our pricing page. We reserve the right to modify or add features to the Services with reasonable advance notice.

3. Account Registration and Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized access at security@ascendcore.ai
• Ensuring all users accessing the Services through your account comply with these Terms

4. Subscription, Fees, and Payment

4.1 Fees

You agree to pay all fees specified in your Order Form. All fees are in US dollars and exclude applicable taxes. We may adjust pricing with 60 days' advance written notice.

4.2 Payment Terms

Invoices are due net-30 from the invoice date. Overdue payments accrue interest at 1.5% per month. We may suspend Services for accounts more than 30 days past due after reasonable notice.

4.3 Cancellation

You may cancel by providing written notice to sales@ascendcore.ai at least 30 days before the end of your current billing period. We do not provide refunds for partial subscription periods except as required by law.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any system or data
• Reverse engineer, decompile, or disassemble any part of the Services
• Resell or sublicense the Services without our written consent
• Remove or obscure any proprietary notices on the Services

6. Intellectual Property

6.1 Our IP

ascendcore.ai retains all right, title, and interest in the Services, including all underlying software, algorithms, models, documentation, and trademarks. These Terms do not transfer any ownership rights to you.

6.2 Your Data

You retain all right, title, and interest in data you submit to the Services (“Customer Data”). You grant us a limited license to process Customer Data solely to provide the Services as described in our Data Processing Agreement.

7. Confidentiality

Each party agrees to keep the other's confidential information strictly confidential, use it only for purposes of the business relationship, and disclose it only to personnel with a need to know who are bound by comparable obligations. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

8. Data Processing

To the extent the Services involve the processing of personal data subject to applicable data protection laws (including GDPR), the parties agree to the terms of our Data Processing Agreement, incorporated herein by reference.

9. Warranties and Disclaimers

We warrant that the Services will perform materially as described in the applicable documentation and that we will implement reasonable security measures to protect Customer Data.

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $1,000 USD.

11. Term and Termination

Either party may terminate these Terms immediately if the other materially breaches and fails to cure within 30 days of written notice, or becomes insolvent. Upon termination, Customer Data will be available for export for 30 days, after which it will be deleted per our Data Processing Agreement.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules in Delaware. Either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to class-action participation.

13. General Provisions

• Entire Agreement. These Terms and any Order Forms constitute the entire agreement between the parties regarding the Services.
• Amendments. We may update these Terms with at least 30 days' notice for material changes. Continued use constitutes acceptance.
• Assignment. You may not assign these Terms without our prior written consent.
• Severability. If any provision is unenforceable, it will be modified minimally and the remaining provisions remain in effect.
• Notices. Legal notices must be sent to legal@ascendcore.ai.
